1. Contractual Relationship
These Terms of Service (“Terms”) govern your access or use of the applications, websites, and services (the “Services”) made available by XKubo Inc. By accessing or using the Services, you confirm your agreement to be bound by these Terms.
2. The Services
XKubo provides a technology platform that enables users of XKubo’s mobile applications (the “Riders”) to arrange and schedule transportation services with third-party providers of such services (the “Drivers” or “Partners” using XPartner). YOU ACKNOWLEDGE THAT XKUBO DOES NOT PROVIDE TRANSPORTATION SERVICES OR FUNCTION AS A TRANSPORTATION CARRIER AND THAT ALL SUCH TRANSPORTATION SERVICES ARE PROVIDED BY INDEPENDENT THIRD-PARTY CONTRACTORS.
3. Use of the Services
User Accounts: You must be at least 18 years of age to obtain an Account. You agree to maintain accurate, complete, and up-to-date information in your Account.
Text Messaging: By creating an Account, you agree that the Services may send you text (SMS) messages as part of the normal business operation.
User Conduct: You may not authorize third parties to use your Account. You agree to comply with all applicable laws when using the Services.
4. Specific Provisions for Drivers (XPartner)
Independent Contractor Status: Drivers are independent contractors and not employees of XKubo. You maintain the right to accept or reject any trip request.
Vehicle Requirements: Drivers must maintain a valid driver’s license, vehicle registration, and active insurance that meets local legal requirements.
Background Checks: By using XPartner, you consent to periodic background and driving record checks.
5. Payment and Fees
Riders (XKubo): You understand that use of the Services may result in charges for the services you receive (“Charges”). XKubo will facilitate your payment of the applicable Charges on behalf of the Driver.
Drivers (XPartner): XKubo will collect payments from Riders and remit the corresponding amount to the Driver, minus a service fee (commission) as specified in the app’s rate card.
Taxes: You are responsible for all tax obligations arising from your use of the Services.
6. Location-Based Services
You acknowledge and agree that your geo-location information must be monitored and collected by the Services to provide the ride-sharing functions.
XPartner Drivers: Location data will be collected in the background to ensure proper trip dispatching and safety tracking while “Available.”
7. Disclaimers; Limitation of Liability; Indemnity
Disclaimer: THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” XKUBO DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, NOT EXPRESSLY SET OUT IN THESE TERMS.
Limitation of Liability: XKUBO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES RELATED TO THE USE OF THE SERVICES.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States, without giving effect to any conflict of law principles.
